I. GENERAL

In accordance with legal provisions, the following information is provided for the business purpose of concluding a contract with customers via the mobile app from NAO Co-Investment GmbH, in the App Store from Apple Inc., and in the Google Play Store from Google Inc. called “NAO” (the “NAO app”) provided. This legal information relates to the use of the NAO app.

III. SUBJECT MATTER OF THE CONTRACT

(1) As part of the NAO app, the client can choose between various curated investment options, invest or disinvest in the presented instruments based on a custody account maintained for the client's benefit. For the main characteristics of the financial services offered, the period of validity of fixed-term financial services and fulfillment information, please refer to the respective description of the investment options. In doing so, the customer makes investment decisions. As part of the custodian bank's closing brokerage mandate, DonauCapital Financial Services GmbH issues corresponding trading orders on behalf of and for the account of the client

(2) The NAO's offer is only aimed at well-informed and experienced investors. Before registration in the NAO app is enabled, as part of an appropriateness check, required information about knowledge and experience relating to transactions with certain types of financial instruments or investment services, such as the frequency and volume of transactions and the length of experience. The NAO app also asks whether training has been completed in a profession in the financial sector or whether professional experience has been gained in the financial sector for more than one year. The collection and evaluation of this information is carried out exclusively automatically on the basis of a questionnaire, which must be completed as part of the registration process in the NAO app in order to meet the regulatory requirements and to be able to check the appropriateness of the investments offered by NAO. The data is not used to provide customers with individual offers but is used exclusively to fulfill regulatory obligations.

(3) The NAO enables the customer to open a depot with a cooperation partner and offers expert technical advice in connection with the use of the NAO app in the form of technical support. NAO provides customers with general information about trading, products and settlement of the selected securities. NAO does not provide investment advice.

IV. CONCLUSION OF CONTRACT

(1) NAO provides the NAO app for use with mobile devices in the App Store of the provider Apple Inc. and in the Google Play Store of the provider Google Inc. After downloading the NAO app, the customer is given the opportunity to submit an offer to conclude the platform usage agreement with NAO, a framework agreement required for its implementation with DonauCapital Wertpapier GmbH for investment brokerage services and DonauCapital Financial Services GmbH for financial brokerage services. At the same time, he is given the opportunity to submit an application to open a deposit and settlement account with Baader Bank AG. The customer's required declarations are requested as part of the registration process. The customer can accept offers from NAO, DonauCapital Wertpapier GmbH and DonauCapital Financial Services GmbH by clicking on the button marked “Order subject to payment”. At the same time, he instructs NAO to submit his account opening application to Baader Bank AG for the opening of a deposit and settlement account. The information requested as part of his registration process will be provided in a PDF application form from Baader Bank AG and once again in a completed PDF file before submitting his application for a summary. After verification by the customer and submission of the transfer order, NAO sends it to Baader Bank AG. The customer will also receive this PDF file again by e-mail, supplemented by his typewritten name reproduction, to complete his documents. The platform usage agreement is subject to the termination of the final rejection of the application to open a custody and settlement account by Baader Bank AG.

V. CORRECTION OF INCORRECT ENTRIES

As part of the order, the customer is provided with a summary of the data entered by him before submitting his contract declaration in order to be able to identify any incorrect entries. If there is an error, he can correct the entries by using the “Back” button (arrow pointing to the left) at the bottom left of the last page of the ordering process. This also applies in particular if he discovers incorrect entries when reviewing his account opening application in PDF format with Baader Bank AG.

VI. EXECUTION OF ORDERS

NAO transfers orders from the customer on behalf of the investment broker, DonauCapital Wertpapier GmbH, to the closing agent, DonauCapital Financial Services GmbH, who will forward the offer to Baader Bank AG as the client's representative. The details and in particular the time of execution depend on the specific order and are specified in the respective product description.

VII. STATUTORY LIABILITY FOR DEFECTS

Reference is made to the existence of statutory warranty rights.

VIII. LANGUAGE AND CONTRACT TEXT

The language available for concluding the contract is German. The contract text will be saved by us after conclusion of the contract and made available as part of the NAO app.
